These Terms & Conditions ("Terms") govern access to and use of SamparkApp’s website, software, features, subscriptions, credits, and related services. By registering for an account, purchasing a plan, or using the service, you agree to these Terms. If you do not agree, do not use the service.
1. The service
SamparkApp is a business software platform intended to help users manage leads and customer relationships, automate communications and follow-ups, manage proposals and catalogs, coordinate bookings and payments, connect lead sources, and review business activity. Features, integrations, usage limits, and availability may depend on the purchased plan and current product configuration.
2. Account registration and security
You must provide accurate registration and billing information, keep it up to date, and protect your login credentials. You are responsible for activity conducted through your account and for limiting access to authorized users. Notify [email protected] promptly if you suspect unauthorised access.
3. Plans, credits, and validity
- Your plan, fees, included features, credit allocation, and validity will be described at checkout, in your account, or in the applicable order or proposal.
- For long-term plans, included credits are valid only during the validity period of the purchased plan, unless a written offer or separate agreement expressly states otherwise.
- Unused credits remaining when the plan validity expires will lapse and will not roll over, be carried forward, or be exchanged for cash, unless required by applicable law or expressly agreed in writing.
- Credits may be used only for the features or services for which they were issued and may be subject to usage limits, technical restrictions, or disclosed provider charges.
- You are responsible for monitoring credit usage and plan expiry dates.
4. Fees, payment, auto-debit, and invoices
- You agree to pay the fees displayed at checkout or agreed in writing. Applicable taxes or disclosed third-party charges may apply.
- An auto-debit or recurring payment facility may be available for eligible plans. If you authorize it, you permit the relevant payment provider to charge the selected payment method according to the billing frequency and terms shown during authorization.
- You are responsible for maintaining a valid payment method. Failed payments may result in reminders, restricted features, suspension, or non-renewal, subject to applicable law and plan terms.
- Invoices will be sent only to the email address registered to your SamparkApp account. Keep that address accurate and accessible, and check spam or junk folders.
- Contact [email protected] if you believe an invoice contains an error or need help with a payment record.
5. Subscription renewal and cancellation
Where a plan renews automatically, it will continue for the stated billing period until cancelled in accordance with the cancellation process shown in your account or communicated by SamparkApp. Cancelling a subscription or auto-debit prevents future renewals once the cancellation takes effect; it does not automatically reverse payments already processed or create a refund entitlement. Any plan-specific notice period shown at purchase will apply, subject to applicable law.
6. Acceptable use
You must not use SamparkApp to violate laws, send unlawful or unsolicited communications, infringe rights, upload malicious code, attempt unauthorized access, disrupt the service, misrepresent your identity, or process data without appropriate rights and permissions. You must comply with the terms and policies of connected services, including WhatsApp, email providers, advertising platforms, and payment providers.
7. Customer content and permissions
You retain your rights in content and data you submit. You grant SamparkApp permission to host, process, transmit, and display that content as reasonably necessary to provide the service, follow your instructions, maintain security, and comply with law. You are responsible for the accuracy, legality, and permissions associated with your content and contact lists.
8. Third-party services
Some features rely on third-party platforms, APIs, messaging networks, payment gateways, or integrations. Those services may change, impose limits, experience outages, or discontinue access. SamparkApp is not responsible for independent third-party services, and their separate terms may apply. We do not guarantee uninterrupted third-party availability.
9. Availability and changes
We may update, improve, modify, or discontinue features to maintain or improve the service, comply with law, or respond to technical or business requirements. We aim to keep the platform available but do not guarantee uninterrupted or error-free operation.
10. Intellectual property
SamparkApp and its underlying software, design, branding, documentation, and related materials are owned by SamparkApp or its licensors and are protected by applicable intellectual property laws. Except for the limited right to use the service under these Terms, no ownership rights are transferred to you.
11. Suspension and termination
We may suspend or terminate access where reasonably necessary for security, non-payment, suspected misuse, legal compliance, or a material breach of these Terms. Where practical and legally permitted, we will provide notice and an opportunity to resolve the issue. You may stop using the service and cancel your plan under the applicable cancellation process.
12. Disclaimers and limitation of liability
To the extent permitted by law, SamparkApp is provided on an “as available” basis, and we do not guarantee any particular sales, lead conversion, revenue, message delivery, or business outcome. AI-generated analysis, recommendations, lead scores, and automation outputs are aids to decision-making and should be reviewed by your team. Nothing in these Terms excludes liability that cannot legally be excluded.
13. Changes to these Terms
We may revise these Terms from time to time. The revised Terms will be posted on our website with an updated date. Continued use after changes take effect constitutes acceptance where permitted by law.
14. Governing law and disputes
These Terms are subject to the laws of India, and disputes will be handled by the courts or dispute-resolution forum located in Dehradun, Uttarakhand, India, subject to mandatory consumer-protection and other applicable laws.
